BETHESDA, Md., June 9 /PRNewswire-FirstCall/ -- Host Marriott Corporation (NYSE: HMT) announced that after the market closed today, the Company agreed to issue and sell in a new offering 25 million shares of its common stock for gross proceeds of approximately $305 million pursuant to a prospectus supplement to the prospectus filed as part of the Company's universal shelf registration on Form S-3 dated April 19, 2004. Citigroup Global Markets Inc. is acting as the sole book-runner and Deutsche Bank Securities Inc. is acting as co-manager for this transaction. The Company has also granted the underwriter an option, exercisable for 30 days, to purchase up to an additional 3.75 million shares of common stock to cover over-allotments, if any.

The net proceeds together with available cash will be used to fund the purchase of The Fairmont Kea Lani Maui, which is expected to close in August, or for other corporate purposes if the acquisition is not completed.
