The Board of Directors of Banyan Tree Holdings Limited wishes to announce that its wholly-owned subsidiary, Banyan Tree Hotels & Resorts Pte. Ltd. has incorporated a wholly-owned subsidiary known as Banyan Tree Hotels & Resorts USA, Inc ("BTHRUSA").

BTHRUSA, which is incorporated in the United States of America ("USA"), has an authorised and paid-up capital of US$75.00. The principal activity of BTHRUSA is to provide sales and marketing services in USA for Banyan Tree group of hotels & resorts.
